Traffic Community Center ("TCC") - Terms & Conditions

General

Welcome to the Trackbox's Traffic Community Center chat room ("TCC") which is owned and operated by Tigloo Ltd ("us", 'we", "our", "Company").
This Terms & Conditions in this document constitute a legal and binding agreement between us and you and/or anyone on your behalf who uses and/or watches and/or operates on the TCC.
Please read and carefully and carefully review the terms & conditions of this document, including its definitions, manner of use, legal responsibility, Privacy Policy, etc. (the "Terms" and/or "Terms and Conditions").
By using the TCC and/or its services and/or its products in any manner, you are considered to have read, accepted, and agreed to be bound by these Terms.
This Agreement is an understanding between us and the you, and this supersedes and replaces all prior agreements regarding the use of this TCC.
By using the TCC, you declare that you are over the age of 18 (or older according to the law that applies to you), as the case may be, and on the one hand you have no restrictions and on the other hand you have full legal authority to do all the actions you perform on/through the TCC.
Although from time to time we might send you notices regarding changes to these Terms, we will be entitled to change / modify the Terms of this document and/or the terms of the any product and/or service and/or documents offered through or on the TCC at our sole and absolute discretion and without the obligation of explanation of cause of / and to such changes and/or to give any prior notice.
you are advised to review these Terms periodically for any changes. Changes to these Terms and any other document / changes in the TCC, will enter into effect immediately when they are posted on this page (or the relevant page in the TCC- if applicable) from time to time.
You acknowledge in advance that you agree that the form and/or nature and/or products and/or services and/or features, etc. of the TCC, as well as any part thereof (whether existing today and/or will exist in the future), may be changed and/or updated and/or removed (in whole and/or in part) etc. without prior notice to you and/or any third party.
If any of the Terms of this document or any future changes we make are unacceptable by you (in whole or in part), please exit the TCC and stop using the TCC and our services immediately. Continued use of the TCC, including its services and/or products, etc. after any update of this document will be automatically and without the need for additional action constitute your as your consent and acceptance of the changes made

Using the TCC

You enter and participate in the TCC and gain access to the materials and information contained and/or provided thereon at your own risk.
We do not monitor or screen communications or participants on the TCC and we are not responsible for any material and/information that any TCC participant posts and we do not assume the responsibility to do so.
We do provide contact information of any party to the TCC communication nor do we validate / authenticate the information provided on the TCC and any action / referral, etc. you take- is at your own risk taking into account all liability and risks in any such action.
We do not make any representations or warranties as to the truth or accuracy of any information / offer / materials / statement made or posted or provided on or through the TCC by any party. You agree and acknowledge that you assume the risk of any actions you take in reliance upon the information that may be contained and or transmitted in the TCC.
The TCC is only a "billboard" that eligible parties using Trackbox software are allowed to participate in it via the "closed frame" of pre-determined questions and answers as we decide to enable parties to post on TCC from time to time.
The TCC is not a trading platform nor does it pretends to be one or to offer such / similar capabilities.
It is forbidden to activate or enable the operation of any computer application or other means that allows the copying, in whole or in part, of information and content from the TCC. In this regard, it is forbidden to create or use such means for the purpose of creating a compilation, collection or database that will contain content from the TCC.
We do not endorse or lend any credence for any statements that are made by any participant in the TCC.
In the event that we are notified by any party that any communications contained in the TCC or any parties participation in the TCC is contrary to these Terms, we may, but are not obligated to, investigate the situation and determine in our own discretion, whether to remove such communication from the TCC. We have no liability or responsibility to investigate or remove any content from the TCC based upon a complaint or otherwise.
As a participant of the TCC, you agree that we may remove any materials from the TCC for any reason, in our sole discretion, or for no reason at all. You hold us harmless from and against any damage you or others may suffer as a result of our removal of any content from the TCC or from the discontinuance of the TCC at any time.
We have the right to remove, expel, or disqualify any party from participation and access to the TCC for any time and for any reason, or for no reason whatsoever, in our sole and absolute discretion. This includes, but is not limited to any violation of this agreement, disruptive behavior, complaints from other parties, any allegedly illegal activity, or for any other reason or for no reason at all.
We reserve the right to update and change the TCC and its services, including their scope and availability and/or these Terms, without the need for prior notice to you or to any party. You will have no claim and/or lawsuit against the TCC and/or the Company and/or those acting on its behalf in respect of such changes and/or malfunctions that may occur prior and/or during and/or after their implementation
We reserve the right to terminate and/or modify the TCC and/or any of it's characteristics at any time and all users hold us harmless from and against any claims, damages, suits, threats, demands, liabilities, actions, causes of action, or injuries that may result therefrom, including but not limited to any consequential, incidental and special damages of every nature and type.
You agree that you will not (i) use the TCC for any illegal purpose, (ii) place any material in the TCC that contains a false statement about any person / entity / operation, etc., infringes upon the privacy rights of any other person, or threatens, harasses, abuses or embarrasses any other person, (iii) pretend to be another person that you are not, (iv) place materials in the TCC that are disruptive or off-topic.
By accessing the TCC and placing any information in the Chat Room, you hereby grant us a perpetual, irrevocable, royalty free license in and to such materials, including but not limited to the right to post, publish, transmit, distribute, create derivative works based upon, create translations of, modify, amend, enhance, change, display and publicly perform such materials in any form or media, whether now known or later discovered.
You grant to others who access the TCC a perpetual, non-revocable, royalty free license to view, download, store and reproduce your postings but such license is limited to the personal use and enjoyment of such other party accessing the TCC.

Limitation of Liability

You are fully responsible for your own statements and materials that you post in the TCC and any consequences, whether or not foreseen, to any party who may rely upon these statements and vis versa. You agree that you will not take any action directed towards attempting to hold us responsible for any such materials or statements.
Any information / offers and/or statements, etc. s expressed / posted / offered by TCC participants are their own and based solely on their representations. We do not endorse or support or otherwise give any credence or reason for reliance on any such information / offers, etc.
We will not be liable for any problems / faults caused as a result of using the TCC, including: Faults in the operating system and / or any software on the electronic device from which the TCC was accessed and / or any hardware and / or viruses and / or hostile software or any other software discovered or will be found in the electronic device from which the TCC was entered as a result of using the TCC and / or any communication problem or data transfer that will temporarily or permanently prevent the use of the TCC and / or the quality or speed of use of the TCC.
In addition, since that the TCC runs and operates in an online-digital environment which despite all the efforts and measures we take, it does not mean that the TCC and its operating environment are impenetrable. By using the TCC you acknowledge and declare that you are aware of all the risks while using the TCC and that we cannot guarantee immunity and hermetic protection from computer intrusion and / or exposure of information collected and / or stored and you will not have any claim and / or lawsuit and / or demand towards the TCC and / or the Trackbox.ai and / or any of their related party and/or anyone on their behalf for any damage, whether direct or indirect which will cause and / or may be caused to you or others as a result of intrusion and / or disclosure of the said information and / or its use and / or misuse and / or its editing and / or distribution, etc.
We will not be liable for any malfunctions / faults / problems / representations / statements etc. caused as a result of using the TCC, including: Faults in the operating system and / or any software on the electronic device from which the TCC was accessed and / or any hardware and / or viruses and / or hostile software or any other software found or will be found in the electronic device from which the TCC was entered as a result of using the TCC and / or any communication problem or data transfer that will temporarily or permanently prevent the use of the TCC and / or the quality or speed of use of the TCC, etc.
The TCC may contain links ("Links") to other external websites / platforms, etc. Israeli or foreign. We assume no responsibility for the content of those referral / websites, etc. and for any information posted on them. The presence of a Link on the TCC does not constitute a recommendation to visit it and a visit to it by you will be at your own discretion and at your own risk. For the avoidance of doubt, we will not be liable for any direct or indirect damage, financial or otherwise, caused to you and / or a third party as a result of reliance on the content of the information appearing and/or transmitted in those links.
By using the TCC / services offered by us, You agree to indemnify us and our affiliates for any penalty, expenses (including but not limited to- reasonable legal expenses), payments, etc. and hold us harmless against any legal claims and demands that may arise from your use or misuse of the TCC and/or our services or not according to Terms of this document. We reserve the right to select our own legal counsel and advisors.
Some jurisdictions do not permit the waiver or exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations listed above may not apply to you or may be enforceable against you. If you are not satisfied with any part of the TCC and / or the service and / or the products etc. and / or the Terms as stated in this document, your only and exclusive remedy is to stop using the TCC and avoid using the TCC and / or the services it offers (including but not limited to- Trackbox) and / or contents, etc.

Before you continue using our TCC, we advise you to read our privacy policy _____________ regarding our user data collection as the Privacy Policy (with the relevant changes, if applicable, to the use of the TCC) and its terms are considered as integral and inseparable part of Terms & Conditions in this document.

Intellectual Property

All copyrights and intellectual property displayed / offered, etc. in the TCC, including all content contained therein are the sole property of the Company, or a third party authorized by the Company to use them. You may not copy, distribute, publicly display, publicly perform, transmit to the public, modify, process, create derivative works, or make commercial use for consideration or without consideration of any of the foregoing, whether directly or indirectly, including through a third party, or By any means or means, whether electronic, mechanical, optical, means of photography or recording, etc., without obtaining a prior & expressed prior written consent, in each specific case separately, from the Company's dully authorized representative and / or - as directed by the Company also from the other relevant rights holders, if applicable and subjected to the terms of such consent (if granted) This provision also applies in relation to any processing, editing or translation made by the Company.

Governing Law & Jurisdiction

By using this TCC, you consent that the laws of the State of Israel , without regard to principles of conflict laws, will solely govern these Terms and Conditions, and any dispute of any sort that might come between us or any of our related parties and you, or its business partners and associates, and the competent courts of Tel-Aviv, Israel, shall have exclusive jurisdiction over any of the abovementioned dispute/s / matters / Terms, etc.
